Terms of Service

1. Description of Service

HuddleHud provides a subscription-based Premium Add-On for PokerTracker 4, consisting of custom statistical frameworks, HUD profiles, and analytical tools designed for heads-up lottery Sit & Go poker analysis. Delivery occurs through the PokerTracker 4 Premium Add-On distribution system.

The Service is intended solely as a study and analytical tool. HuddleHud does not make gameplay decisions on your behalf, does not guarantee poker performance, and does not automate play.

2. Eligibility

To use HuddleHud, you must:

1. Be at least eighteen (18) years of age;
2. Have legal capacity to enter into a binding contract;
3. Own a valid PokerTracker 4 license with an active PokerTracker.com account;
4. Reside in a jurisdiction where use of statistical HUDs and third-party poker tools is legally permitted;
5. Comply with the terms of service of any poker site on which you intend to use the Service.

3. Account and Access

Access to HuddleHud requires activation through your PokerTracker.com account credentials. You are responsible for maintaining the confidentiality of your credentials, activation codes, and any actions taken through your account.

You may not share, sell, transfer, or otherwise provide access to your license or credentials to any other person. Each subscription is individual and non-transferable.

4. Subscription and Payment

Subscription fees, billing frequencies, and payment terms are displayed at the time of purchase and are subject to change with reasonable notice to existing subscribers.

Payments are processed through third-party payment processors, which may act as merchants of record for the transaction. By purchasing, you acknowledge that your payment relationship may be with such third parties, subject to their own terms and privacy policies.

Subscriptions renew automatically at the end of each billing period unless cancelled prior to renewal. You may cancel your subscription at any time through your account portal. Cancellation stops future billing but does not entitle you to a refund of the current period.

5. Refund Policy

HuddleHud is a digital software product. By purchasing and consenting at checkout, you expressly waive your right of withdrawal under Directive 2011/83/EU art. 16(m). All sales are final, and no refunds are automatically issued once access has been granted.

Notwithstanding the above, HuddleHud may consider refund requests on a case-by-case basis at its sole discretion in cases of demonstrated software malfunction that cannot be resolved through support. Requests must be submitted within fourteen (14) days of the original purchase, accompanied by clear documentation of the technical issue and evidence that reasonable support efforts have not resolved it.

Approval of a discretionary refund is not guaranteed, is decided at HuddleHud's sole discretion, and does not create precedent for future requests. Requests based on user dissatisfaction, change of mind, strategic disagreement with statistical baselines, or performance-related claims (e.g., poker results) are explicitly excluded from consideration.

6. License

Your use of the HuddleHud software is governed by Our End User License Agreement (EULA), which is incorporated by reference into these Terms. The EULA describes what you may and may not do with the software, including restrictions on copying, redistribution, reverse engineering, and derivative works. You should review the EULA carefully before purchase.

7. User Conduct and Prohibited Uses

You agree not to:

1. Use the Service for any purpose that violates applicable law;
2. Attempt to bypass, circumvent, or defeat any security or licensing mechanism of the Service;
3. Share, resell, sublicense, or distribute the Service or any of its components (including statistics formulas, HUD profiles, and popup configurations);
4. Use the Service to develop, market, or distribute any competing or derivative product;
5. Use the Service in any manner that violates the terms of service of any poker site;
6. Publicly disparage or knowingly spread false information about the Service or HuddleHud;
7. Use automated tools, bots, or scripts to interact with the Service or Our website in ways not intended for regular users.

8. Compliance with Poker Site Policies

You are solely responsible for ensuring that Your use of the Service complies with the terms of service of any poker site on which You play. HuddleHud does not warrant compliance with any specific site's Third Party Tools and Services policy. Violations of such policies are the User's exclusive responsibility.

9. Intellectual Property

All content, features, and functionality of the Service — including software code, statistical formulas, HUD profiles, popup designs, color systems, texts, graphics, logos, and trademarks — are the exclusive property of HuddleHud and are protected by international copyright, trademark, and other intellectual property laws.

Nothing in these Terms grants you any right to Our intellectual property beyond the limited license expressly stated in the EULA.

10. Third-Party Services

The Service integrates with third-party platforms and services, including but not limited to:

1. PokerTracker 4 (for installation and delivery of Premium Add-Ons);
2. Third-party payment processors (for subscription billing);
3. Cloudflare (for website infrastructure and analytics);
4. The applicable poker site on which You play.

We are not responsible for the availability, performance, terms, or privacy practices of any third-party service. Your use of such services is governed by their respective terms.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without notice, if:

1. You breach these Terms or the EULA;
2. You engage in any prohibited conduct listed in Section 7;
3. Your subscription payment fails or is disputed via chargeback;
4. Continued provision of the Service to you creates legal, security, or reputational risk to HuddleHud;
5. We discontinue the Service entirely.

Upon termination, all rights granted to you under these Terms and the EULA cease immediately. Sections that by their nature should survive termination (including IP, indemnification, disclaimers, limitations of liability, and governing law) shall survive.

12. Modifications to the Service and These Terms

We may modify or discontinue any part of the Service at any time, including feature changes, updates, panel additions, or price changes.

We may update these Terms from time to time. Material changes will be communicated via email or through the Service. Continued use of the Service after such changes constitutes acceptance of the updated Terms.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT USE OF THE SERVICE WILL RESULT IN POKER PROFITS, IMPROVED PERFORMANCE, OR ANY SPECIFIC OUTCOMES. THE SERVICE IS A STUDY AND ANALYSIS TOOL — ALL PLAY DECISIONS AND THEIR OUTCOMES REMAIN EXCLUSIVELY THE USER'S RESPONSIBILITY.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUDDLEHUD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE.

WE ARE NOT RESPONSIBLE FOR ANY POKER LOSSES OR FINANCIAL OUTCOMES INCURRED WHILE USING THE SERVICE.

Our total liability under these Terms shall not exceed the amount you paid to HuddleHud in the twelve (12) months preceding the claim.

15. Indemnification

You agree to indemnify, defend, and hold harmless HuddleHud and its affiliates from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your violation of any law, or your use of the Service.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to conflict of law principles. Any disputes arising from or related to these Terms shall be submitted to the exclusive jurisdiction of the courts of Milan, Italy, except where mandatory consumer protection laws provide otherwise.

17. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
