End User License Agreement (EULA)

1. License Grant

Subject to Your compliance with this Agreement and payment of applicable subscription fees, We grant You a limited, non-exclusive, non-transferable, revocable license to install and use the Software for personal, non-commercial purposes on PokerTracker 4 installations linked to Your active PokerTracker.com account.

The license is granted per single user. Each active subscription authorizes use by one individual on their personal PokerTracker 4 installation(s).

2. Restrictions

You may not:

1. Copy, reproduce, distribute, sublicense, resell, or otherwise make the Software available to any third party;
2. Share, transfer, or provide access to Your license, activation code, or account credentials to any other person;
3. Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source formulas, algorithms, or methodology of the Software;
4. Modify, adapt, translate, or create derivative works based on the Software or any component thereof, including but not limited to statistics formulas, HUD profiles, popup layouts, and color coding schemes;
5. Use the Software or any component thereof (in whole or in part) to develop, market, sell, or distribute any competing or derivative product;
6. Remove or alter any proprietary notices, labels, or markings from the Software;
7. Use the Software in any manner that violates applicable law or the terms of the poker site(s) on which You play.

3. Intellectual Property

The Software, including all statistics formulas, HUD profiles, popup designs, color systems, documentation, and any updates, remains the sole and exclusive intellectual property of HuddleHud. All rights not expressly granted to You under this Agreement are reserved by HuddleHud.

You acknowledge that the specific selection, arrangement, and methodology of the statistics within the Software constitute proprietary know-how and trade secrets of HuddleHud, protected under applicable intellectual property laws.

4. Updates and Modifications

We may, at Our sole discretion, release updates, patches, or new versions of the Software. Such updates are provided under the terms of this Agreement. We reserve the right to modify or discontinue the Software or any portion thereof at any time.

Any user modifications to the Software will be automatically overwritten upon official updates from HuddleHud.

5. Termination

This Agreement is effective until terminated. We may terminate this Agreement immediately, without notice, if You breach any provision. Upon termination:

1. Your license to use the Software ends immediately;
2. You must cease all use of the Software and destroy any copies in Your possession;
3. All confidentiality and IP protection obligations survive termination.

We reserve the right to enforce Our IP rights against Licensees who violate the terms of this Agreement, including through legal action and damages.

6. No Warranty

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WE DO NOT WARRANT THAT USE OF THE SOFTWARE WILL RESULT IN POKER PROFITS, IMPROVED PERFORMANCE, OR ANY SPECIFIC OUTCOMES. THE SOFTWARE IS A STUDY AND ANALYSIS TOOL — RESPONSIBILITY FOR ALL PLAY DECISIONS REMAINS EXCLUSIVELY WITH THE USER.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, HUDDLEHUD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, OR OTHER INTANGIBLE LOSSES, ARISING FROM OR RELATED TO YOUR USE OF THE SOFTWARE.

We are not responsible for any losses incurred through playing poker while using the Software.

Our total liability under this Agreement shall not exceed the amount You paid for the Software in the twelve (12) months preceding the claim.

8. Compliance with Poker Site Policies

You are solely responsible for ensuring that Your use of the Software complies with the terms of service of any poker site(s) on which You play. We do not warrant compliance with any specific site's Third Party Tools and Services policy.

9. Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of Italy, without regard to conflict of law principles. Any disputes arising from or related to this Agreement shall be submitted to the exclusive jurisdiction of the courts of Milan, Italy.
